Terms of Service

1. Agreement

By accessing or using the Aliquora website (aliquora.com) or the Aliquora application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not use the Service.

2. The Service

Aliquora is a cloud-based laboratory information management system (LIMS) designed to help labs track samples, manage results, perform QC, and generate reports. We provide the Service on a subscription basis, with plans described on our Pricing page.

We reserve the right to modify or discontinue any part of the Service with reasonable notice.

3. Your account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@aliquora.com if you suspect unauthorised access.

You must be at least 18 years old and provide accurate information when creating an account. One organisation may not share a single account across multiple independent legal entities.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable regulations.
  • Attempt to gain unauthorised access to the Service or other users' data.
  • Introduce malicious code, conduct denial-of-service attacks, or interfere with the integrity of the Service.
  • Reverse-engineer, decompile, or copy any part of the Service.
  • Resell or sublicense the Service without our written consent.

5. Your data

You retain ownership of all data you enter into Aliquora ("Customer Data"). You grant us a limited licence to store and process that data solely to provide and improve the Service. We do not use your Customer Data to train AI models without your explicit consent.

You are responsible for ensuring that you have the right to input any data into the Service, and that your use of the Service complies with any applicable regulatory requirements for your industry (including, where applicable, 21 CFR Part 11, ISO/IEC 17025, or similar frameworks).

6. Regulatory compliance

Aliquora provides tools to support regulatory workflows but does not guarantee compliance with any specific regulatory requirement. Customers are responsible for validating the system against their own regulatory obligations, maintaining appropriate documentation, and ensuring that procedures and controls meet their applicable standards.

7. Billing and payment

Paid plans are billed in advance on a monthly or annual basis through Stripe. You authorise us to charge your payment method on file. Subscription fees are non-refundable except as required by law or as explicitly stated in our pricing.

If a payment fails, we may suspend your account after reasonable notice. Invoice (purchase-order) billing is available on approval — contact us at hello@aliquora.com.

8. Confidentiality

Both parties agree to keep confidential any non-public information disclosed in connection with the Service and to use it only to fulfil obligations under these Terms.

9. Disclaimer of warranties

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any particular result will be achieved. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.

10. Limitation of liability

To the fullest extent permitted by applicable law, Aliquora's total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the fees you paid to us in the 12 months preceding the claim. In no event shall we be liable for indirect, incidental, consequential, or punitive damages.

11. Termination

You may cancel your account at any time from within the application. We may terminate or suspend access to the Service immediately for material breach of these Terms, with or without prior notice. Upon termination, your right to use the Service ceases. We will retain your data for 90 days after cancellation to allow export.

12. Changes to these Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes by email to your registered address. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Delaware.
